Welcome to Celibrium.
These Terms of Service govern your access to and use of the products, software, applications, websites, subscriptions, APIs, and related services provided by Celibrium, LLC, collectively referred to as the Services.
By creating an Account, purchasing a subscription, or using any portion of the Services, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you may not use the Services.
1. Definitions
Capitalized terms used in these Terms have the meanings assigned in these Terms or, where applicable, in the Celibrium Canon.
Account means your registered Celibrium account.
Legacy means the organized collection of memories, stories, recordings, photographs, videos, documents, and other information intentionally preserved within Celibrium for a particular individual.
Digital Twin means an AI-generated representation created from a Legacy using Celibrium's proprietary technology and authorized AI Processing.
Voice Model means the technical model generated from Voice Recordings to enable Voice Cloning.
Voice Clone means audio generated from a Voice Model.
Connection means one AI-generated response from a Digital Twin.
User Content means any text, photographs, videos, recordings, documents, or other content submitted to Celibrium.
AI Output means information generated by AI Processing in response to a User's request.
2. Eligibility
You must be at least eighteen (18) years of age to create a Celibrium Account.
By creating an Account, you represent that:
- you are at least eighteen (18) years old;
- the information you provide is accurate;
- you have the legal capacity to enter into these Terms.
Celibrium may suspend or terminate Accounts created in violation of these requirements.
3. Your Account
You are responsible for maintaining the confidentiality of your Account credentials.
You are responsible for all activity occurring under your Account unless caused by Celibrium's negligence or security failure.
You agree to notify Celibrium promptly if you believe your Account has been compromised.
Certain Evaluation Accounts may expire automatically in accordance with the Data Retention & Account Deletion Policy.
4. Recovery Code
Upon Account creation, Celibrium generates a unique Recovery Code.
Your Recovery Code is the only method of recovering your Account if normal authentication methods become unavailable.
You are solely responsible for securely storing your Recovery Code. Celibrium cannot recover or regenerate a lost Recovery Code.
A Recovery Code is an authentication credential only. It does not transfer ownership of an Account, authorize Family Access, or create inheritance rights.
5. The Services
Celibrium provides technology designed to help individuals preserve memories, organize personal history, create Digital Twins, and optionally generate Voice Clones.
Certain Services require paid subscriptions. Certain Services require separate consent before activation.
Celibrium may update, improve, replace, suspend, or discontinue features as the Services evolve.
Where reasonably practical, Celibrium seeks to preserve compatibility with existing Legacies.
6. Ownership of Your Legacy
Your memories remain yours.
Your voice remains yours.
Your Legacy remains yours.
You retain ownership of all User Content you submit to the Services. Submitting User Content does not transfer ownership to Celibrium.
To provide the Services, you grant Celibrium a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit your User Content solely as necessary to operate the Services and provide authorized features.
This license terminates upon deletion of your Account, subject to the Data Retention & Account Deletion Policy.
7. Celibrium Technology
While you retain ownership of your User Content, Celibrium retains all rights, title, and interest in:
- software;
- source code;
- platform architecture;
- AI systems;
- algorithms;
- Digital Twin technology;
- Voice Model technology;
- trademarks;
- logos;
- documentation;
- proprietary methods used to provide the Services.
Nothing in these Terms transfers Celibrium's intellectual property to you.
8. AI Processing
Certain Services rely upon artificial intelligence.
AI Processing may organize, retrieve, summarize, classify, search, and generate information based upon your documented Legacy.
AI Processing is performed solely for the purpose of providing the Services you request.
Celibrium does not use your Legacy, User Content, Voice Recordings, or Digital Twin to train shared AI models for other customers.
8A. AI Output
AI-generated responses you request from your Digital Twin are provided for your personal use.
Subject to these Terms, you may download, save, print, copy, and share AI Output with your Authorized Recipients. You may also include AI Output in personal memoirs, family histories, or other non-commercial works.
Commercial use, licensing, resale, public distribution, or republication of AI Output requires Celibrium's prior written permission.
Your rights in AI Output do not transfer ownership of Celibrium's software, Digital Twin technology, AI systems, algorithms, or other proprietary technology used to generate that AI Output.
9. Digital Twins
A Digital Twin is generated from the information intentionally documented within a Legacy.
A Digital Twin:
- is not the individual it represents;
- possesses no consciousness;
- possesses no independent legal authority;
- possesses no agency;
- possesses no memory beyond the documented Legacy.
A Digital Twin should never be interpreted as the continued existence or consciousness of the represented individual.
Digital Twin responses are generated using artificial intelligence and may be incomplete, inaccurate, or reflect limitations contained within the documented Legacy.
Digital Twin Output has no legal effect and should not be relied upon as legal, medical, financial, or professional advice.
10. Voice Cloning
Voice Cloning is an optional feature requiring separate consent.
Where applicable law recognizes voiceprints or similar characteristics as biometric information, Voice Cloning may involve processing biometric data.
Voice Models and Digital Twins are separate components of the Services and may operate independently.
You may withdraw Voice Cloning consent at any time in accordance with the Voice Cloning & Biometric Consent and the Data Retention & Account Deletion Policy.
The retention and deletion of Voice Recordings and Voice Models are governed by those policies.
11. Family Participation
Certain Services permit multiple participants to contribute to a Legacy.
Each participant remains responsible for their own Account, permissions, and User Content.
Participation does not, by itself, transfer ownership, management authority, access rights, or decision-making authority over another person's Legacy unless expressly provided through the applicable product workflow.
12. Legacy Access After Death
Celibrium allows Users to designate one or more Authorized Recipients to request access to a Legacy following the User's death or other circumstances supported by the applicable product workflow.
Celibrium does not use automated death detection.
Requests for posthumous access are reviewed through a manual verification process requiring documentation reasonably sufficient to establish the requester's authority.
Designation of an Authorized Recipient may be modified or revoked by the Account owner at any time while the Account remains active.
A Recovery Code does not authorize posthumous access and does not replace Family Access Authorization.
13. Connections, Subscriptions & Billing
Certain Services require payment. Subscription pricing, available plans, included features, and renewal terms are presented at the time of purchase.
Connections
A Connection represents one AI-generated response from your Digital Twin.
Connections are consumed only when generating a new Digital Twin response.
The following activities do not consume Connections:
- viewing your Legacy;
- reading stories;
- viewing photographs or videos;
- listening to previously generated Voice Clones;
- viewing previous Digital Twin conversations;
- uploading new User Content;
- recording new interview responses.
Unless otherwise stated:
- during the first twelve (12) months following Account creation, eligible Accounts receive fifty (50) complimentary Connections each calendar month;
- beginning in the thirteenth (13th) month, eligible Accounts receive ten (10) complimentary Connections each calendar month.
Unused Connections expire at the end of each monthly billing cycle and do not roll forward.
Additional Connections and subscription plans may be purchased through Companion subscriptions or other offerings made available by Celibrium.
Celibrium may modify subscription offerings, pricing, or included Connection allowances upon reasonable notice, except where prohibited by applicable law.
14. Refund Policy
Customers may request a refund within fourteen (14) calendar days of the original purchase.
A refund is available only if:
- the request is submitted within fourteen (14) calendar days of purchase; and
- fewer than thirty (30) interview responses have been submitted to the applicable Legacy.
If both conditions are satisfied, Celibrium will refund seventy-five percent (75%) of the purchase price.
The remaining twenty-five percent (25%) is retained to cover non-recoverable transaction costs, account provisioning, AI processing, infrastructure expenses, and other costs incurred in providing the Services.
Once thirty (30) or more interview responses have been submitted, purchases become non-refundable, even if the request is made within the fourteen-day refund period.
Refunds requested after fourteen (14) calendar days are not available except where required by applicable law.
Celibrium may deny refund requests where it reasonably determines that the refund policy is being abused or used in a manner inconsistent with its intended purpose.
Upon approval of a refund, Celibrium will permanently delete the associated Account and all User Content in accordance with the Data Retention & Account Deletion Policy. Following deletion, the Account and its contents cannot be recovered.
15. Acceptable Use
You agree not to:
- upload content you do not have the legal right to submit;
- upload content that infringes the intellectual property rights or privacy rights of another person;
- create a Voice Clone without appropriate authorization;
- impersonate another person without lawful authority or consent;
- use the Services to deceive, defraud, harass, threaten, or harm another person;
- attempt to reverse engineer, interfere with, or compromise the Services;
- use the Services for unlawful purposes.
Celibrium may suspend or terminate Accounts that violate these Terms.
16. Privacy
Your privacy is governed by the Celibrium Privacy Policy, which is incorporated into these Terms by reference.
Where separate consent is required for particular processing activities, including AI Processing or Voice Cloning, those consents supplement these Terms.
17. AI Limitations
Artificial intelligence is inherently probabilistic.
AI Output may:
- misunderstand context;
- omit relevant information;
- produce inconsistent responses;
- reflect incomplete or inaccurate information contained within the documented Legacy;
- generate responses that differ from what the represented individual would have said.
Users remain responsible for exercising independent judgment when interpreting AI Output.
Digital Twins should not be relied upon for legal, medical, financial, psychological, or other professional advice.
18. No Legal Effect
Digital Twin Output does not create, modify, revoke, interpret, or replace:
- wills;
- trusts;
- powers of attorney;
- healthcare directives;
- beneficiary designations;
- contracts;
- estate planning documents;
- legal rights or obligations.
Only legally executed documents have legal effect.
19. Suspension & Termination
You may close your Account at any time.
Celibrium may suspend or terminate Accounts for violations of these Terms, unlawful activity, fraud, security concerns, or other conduct that threatens the integrity of the Services.
Termination does not affect rights or obligations that accrued before termination.
Account deletion is governed by the Data Retention & Account Deletion Policy.
20. Disclaimer of Warranties
THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELIBRIUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
CELIBRIUM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL ALWAYS BE COMPLETE OR ACCURATE.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELIBRIUM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
CELIBRIUM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CELIBRIUM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS LIMITS LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
22. Indemnification
You agree to defend, indemnify, and hold harmless Celibrium, LLC, its officers, members, affiliates, contractors, licensors, and service providers from and against any claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your User Content;
- your violation of these Terms;
- your violation of applicable law;
- unauthorized Voice Cloning;
- infringement of another person's intellectual property or privacy rights;
- misuse of Digital Twins or AI Output;
- fraudulent or unlawful use of the Services.
23. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
24. Dispute Resolution
Attorney review required before commercial launch.
Celibrium intends to adopt a formal dispute resolution process before commercial launch.
The Company is evaluating whether disputes should be resolved through binding arbitration, optional arbitration, or litigation in the state or federal courts located in Maryland.
The final dispute resolution mechanism will be adopted following legal review and reflected in these Terms.
25. Changes to These Terms
Celibrium may revise these Terms from time to time.
If material changes are made, we will provide reasonable notice through the Services, by email, or by other appropriate means before the changes become effective.
Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Celibrium exists to preserve the stories entrusted to us.
These Terms establish the legal relationship between you and Celibrium, but they do not diminish our broader commitment to treat every Legacy with dignity, respect, transparency, and responsible stewardship.
